Terms of Service

Welcome to AlgoMuse. These Terms of Service ("Terms") are an agreement between you and AlgoMuse LLC ("AlgoMuse", "we", "us" or "our"), and govern your access to and use of the AlgoMuse platform, website, and services (collectively, the "Service"). By accessing or using our Service, you agree to be bound by these Terms.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" and "your" will refer to that organization.

PLEASE READ THESE TERMS CAREFULLY. By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2.1 Account Creation

• You must be at least 16 years old to use the Service
• You must provide accurate, complete, and current registration information
• You may not use the Service if you are a competitor or for competitive analysis
• One person or legal entity may not maintain more than one free account

2.2 Account Security

• You are responsible for maintaining the security of your account credentials
• You must immediately notify us of any unauthorized use of your account
• AlgoMuse cannot and will not be liable for any loss or damage from your failure to secure your account
• We recommend enabling two-factor authentication for enhanced security

2.3 Account Responsibilities

• You are responsible for all activity that occurs under your account
• You are responsible for all content posted and actions taken through your account
• You must comply with all applicable laws and regulations in your use of the Service

AlgoMuse provides an AI-powered social media management platform that includes:

• Content Creation: AI-assisted content generation for social media posts
• Scheduling: Tools to schedule and publish content across multiple platforms
• Analytics: Performance tracking and reporting for social media accounts
• Team Collaboration: Features for team-based content management
• Integrations: Connections to various social media platforms and third-party services

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice when possible.

4.1 Pricing and Billing

• Pricing for paid plans is listed on our Pricing page
• All prices are in US Dollars unless otherwise stated
• Subscriptions are billed in advance on a monthly or annual basis
• Prices do not include taxes, which will be added where applicable

4.2 Payment Methods

• Paid plans are paid by card through our payment provider, Stripe
• The first paid subscription on a workspace starts with a 14-day free trial; no payment is taken during the trial. After that, payment is due at the start of each billing period
• You authorize us to charge your payment method for all fees incurred

4.3 Price Changes

We may change our prices at any time. For existing subscribers, price changes will take effect at the start of the next billing period after we provide you with at least 30 days notice.

4.4 Failed Payments

If payment fails, we will attempt to charge your payment method again. After multiple failed attempts, the subscription ends and the workspace is suspended until it is paid for, as in 5.1.

5.1 How to Cancel

• You can cancel your subscription at any time from your billing settings
• Cancellation takes effect at the end of your current billing period
• You will continue to have access to paid features until the end of your billing period, and can resume the subscription until then
• After that, the workspace is suspended: nothing publishes, but its content is kept for 6 months and restored when you subscribe again
• A workspace still suspended after 6 months is deleted with its content

5.2 Refund Policy

• We offer a 14-day money-back guarantee for new subscriptions
• Refund requests must be submitted within 14 days of initial payment
• Refunds are not available for renewal payments or after the 14-day period
• Annual plans cancelled mid-term will not receive partial refunds
• Refunds will be credited to the original payment method within 5-10 business days

5.3 Data After Cancellation

Cancelling a subscription does not delete your data: it stays in the workspace on the Free plan. To delete it, the workspace owner can delete the workspace in its settings, which deletes its content immediately. How long deleted data remains in backups is set out in our Privacy Policy.

You agree not to use the Service to:

6.1 Prohibited Content

• Post illegal, harmful, threatening, abusive, harassing, or defamatory content
• Distribute spam, unsolicited advertisements, or chain letters
• Share content that infringes intellectual property rights
• Post sexually explicit or violent content
• Promote discrimination, hatred, or harm against individuals or groups
• Share malware, viruses, or harmful code

6.2 Prohibited Activities

• Attempt to gain unauthorized access to the Service or other accounts
• Use the Service to violate any applicable law or regulation
• Interfere with or disrupt the Service or servers
• Use automated tools to scrape or collect data without permission
• Bypass or circumvent security features or access restrictions
• Impersonate others or misrepresent your affiliation
• Use the Service to send bulk messages or engage in coordinated inauthentic behavior

6.3 API Usage

• API access is subject to rate limits as specified in our documentation
• You may not use the API to build a competing product
• You must not circumvent any API limitations or restrictions

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

7.1 Our Intellectual Property

AlgoMuse and its licensors own all rights, title, and interest in and to the Service, including all associated intellectual property rights. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written consent.

7.2 License to Use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use such feedback without restriction or compensation to you.

8.1 Ownership

You retain all ownership rights to the content you create and upload to the Service ("User Content"). AlgoMuse does not claim ownership of your User Content.

8.2 License Grant

By uploading User Content, you grant AlgoMuse a worldwide, non-exclusive, royalty-free license to use, store, display, reproduce, modify, and distribute your User Content solely for the purpose of operating and providing the Service.

8.3 AI-Generated Content

Content generated by our AI features based on your inputs becomes your property. However, similar content may be generated for other users based on similar inputs. You are responsible for reviewing AI-generated content before publishing.

8.4 Responsibility for Content

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to use and authorize the use of your User Content as described in these Terms.

The Service integrates with third-party platforms including but not limited to Instagram, Facebook, Twitter/X, LinkedIn, TikTok, Pinterest, and YouTube. Your use of these platforms is subject to their respective terms of service and privacy policies.

• We are not responsible for the availability, accuracy, or content of third-party services
• Your interactions with third-party services are solely between you and those third parties
• You must comply with the terms of service of connected platforms
• Changes to third-party APIs may affect the functionality of our Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• AI-generated content will be accurate, appropriate, or suitable for your purposes
• Any errors in the Service will be corrected

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALGOMUSE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.

In no event shall our total liability exceed the greater of (a) the amount paid by you to AlgoMuse in the twelve (12) months prior to the claim, or (b) one hundred dollars ($100 USD).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless AlgoMuse and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights, including intellectual property rights
• Any claim that your User Content caused damage to a third party

13.1 Informal Resolution

Before filing any formal dispute, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.

13.2 Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules, with the state and federal courts located in Harris County, Texas having exclusive jurisdiction. Nothing in this section removes rights you have under the mandatory consumer protection laws of the country where you live.

14.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through your account settings.

14.2 Termination by AlgoMuse

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

14.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. For significant changes, we will also notify you via email or through the Service.

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.

• Entire Agreement: These Terms constitute the entire agreement between you and AlgoMuse regarding the Service.
• Waiver: Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We are not liable for any failure or delay due to circumstances beyond our reasonable control.
• No Agency: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and AlgoMuse.
